Terms and Conditions.

These Terms and Conditions (the "Terms") govern your access to and use of the website located at silveragility.com (the "Site") and the consulting, coaching, and assessment services (collectively, the "Services") offered by Silver Agility, LLC ("Silver Agility," "we," "us," or "our"). By accessing the Site, purchasing, or using any of our Services, you ("you," "your," or "Client") agree to be bound by these Terms. If you do not agree, do not access the Site or use the Services.

1. About Us

Silver Agility, LLC is a limited liability company organized under the laws of the State of Wyoming, with its principal place of business in the State of Wisconsin. We provide professional consulting, coaching, and assessment services to individuals and organizations.

2. Services

Silver Agility offers the following Services, each of which may be provided independently or in combination, and the specific scope, deliverables, schedule, and fees for which will be described in a proposal, statement of work, engagement letter, order confirmation, or comparable document (each, an "Engagement Document"):

  • Consulting, advisory and implementation support intended to help you and your organization improve processes, practices, and outcomes.
  • Coaching, individual or group coaching sessions intended to support professional development and growth.
  • Assessments, evaluations, surveys, and diagnostic tools intended to provide insight into capabilities, performance, or readiness.

Where an Engagement Document conflicts with these Terms, the Engagement Document controls with respect to the specific engagement it describes; these Terms otherwise remain in full effect.

3. No Guarantee of Results

Our Services are professional services that depend heavily on your participation, candor, and the accuracy of the information you provide, as well as on factors outside our control. While we bring skill, experience, and diligence to every engagement, we do not guarantee any particular result, outcome, financial return, performance improvement, or assessment score. Any examples, benchmarks, or outcomes we describe are illustrative and are not a promise or warranty of the results you will achieve.

4. Fees, Payment, and All Sales Final

Fees for the Services are set out in the applicable Engagement Document or at the point of purchase. Unless otherwise stated in writing, fees are due as invoiced, and access to Services or scheduling of sessions may be conditioned on receipt of payment.

All purchases and payments are final. We do not offer refunds, credits, or exchanges for any Services, whether or not the Services have been used, and whether purchased individually, as a package, or on a subscription or retainer basis. By purchasing, you acknowledge and agree that you are not entitled to a refund, including for missed, unused, or partially completed sessions or engagements.

Nothing in this section limits any right you may have that cannot be waived under applicable law. If we choose, in our sole discretion, to reschedule a session or accommodate a request as a courtesy, doing so is not a waiver of this policy and creates no obligation to do so again.

5. Scheduling, Cancellations, and Rescheduling

Coaching and consulting sessions are scheduled by mutual agreement. If you need to reschedule, we ask that you provide as much advance notice as reasonably possible. Missed sessions or sessions cancelled without adequate notice may be forfeited, consistent with the "all sales final" policy above and with any specific cancellation terms in your Engagement Document.

6. Client Responsibilities

To help us deliver the Services effectively, you agree to: provide accurate, complete, and timely information; make available the people, materials, and access reasonably needed for the engagement; participate actively and in good faith; and comply with these Terms and any Engagement Document. You are responsible for your own decisions and for how you use our Services, deliverables, and recommendations.

7. Privacy and Confidentiality

Our Privacy Policy describes in detail what information we collect, how we use it, how assessment data is owned and shared, and the choices available to you.

We respect the confidentiality of the information you share with us. We do not sell, rent, trade, or otherwise share your personal or confidential information with third parties, except: (a) where you have authorized or directed us to do so; (b) to trusted service providers acting on our behalf who are bound by confidentiality obligations and who process information solely to support the Services; or (c) where disclosure is required by law, legal process, or a governmental or regulatory authority, or is necessary to protect our rights, safety, or property, or that of others.

Assessment results, coaching discussions, and consulting materials are treated as confidential and are used for the purpose of delivering the Services to you. We may use aggregated or de-identified information that does not reasonably identify you or your organization to improve our Services. If you provide us with information about third parties (for example, employees participating in an assessment), you represent that you have the authority to do so.

8. Intellectual Property

All content on the Site and all methodologies, frameworks, assessment instruments, templates, materials, and other works we create or provide (the "Silver Agility Materials") are owned by us or our licensors and are protected by intellectual property laws. Unless we agree otherwise in writing, we grant you a limited, non-exclusive, non-transferable license to use the deliverables and materials we provide solely for your internal purposes in connection with the engagement. You may not copy, resell, redistribute, sublicense, or create derivative works from the Silver Agility Materials without our prior written consent.

You retain ownership of the information and materials you provide to us. You grant us the rights necessary to use them to perform the Services.

9. Acceptable Use of the Site

You agree not to use the Site or Services for any unlawful purpose; to interfere with or disrupt the Site or its security; to attempt to gain unauthorized access to any systems or data; or to infringe the rights of others. We may suspend or terminate access to the Site or Services for any violation of these Terms.

10. Third-Party Links and Tools

The Site or Services may reference or link to third-party websites, tools, or resources. We do not control and are not responsible for third-party content or services, and inclusion of any link or tool does not imply our endorsement. Your use of third-party services is governed by their terms.

11. Disclaimers

The Site and Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure. Our consulting, coaching, and assessment Services are not, and are not a substitute for, legal, financial, medical, psychological, or other licensed professional advice.

12. Limitation of Liability

To the fullest extent permitted by law, in no event will Silver Agility, LLC or its members, managers, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or relating to the Site, the Services, or these Terms, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Services will not exceed the amount you actually paid to us for the specific Service giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Silver Agility, LLC and its members, managers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site or Services, your violation of these Terms, or your violation of any law or the rights of any third party.

14. Termination

We may suspend or terminate your access to the Site or Services at any time if you breach these Terms or an Engagement Document. Either party may end an engagement as provided in the applicable Engagement Document. Termination does not entitle you to a refund of amounts already paid. Sections that by their nature should survive termination, including provisions on payment, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law, will survive.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict-of-laws principles, and, with respect to matters of internal company governance, the laws of the State of Wyoming as the state of our formation. You agree that any dispute arising out of or relating to these Terms, the Site, or the Services will be brought exclusively in the state or federal courts located in the State of Wisconsin, and you consent to the personal jurisdiction of those courts. The parties may agree in an Engagement Document to resolve disputes through mediation or arbitration.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective Date" above and post the updated Terms on the Site. Your continued use of the Site or Services after changes take effect constitutes your acceptance of the revised Terms.

17. Miscellaneous

These Terms, together with any applicable Engagement Document, constitute the entire agreement between you and us regarding the Site and Services. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Headings are for convenience only.
